Agreement to Terms

These Services & Terms of Use ("Terms") constitute a legally binding agreement between you and Elites eSIM Platform ("Company," "we," "us," or "our") governing your access to and use of our telecommunications services, eSIM platform, GSM/wireless services, IoT connectivity solutions, and related technologies. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

1. Definitions

"Services" refers to all telecommunications, eSIM, GSM, wireless, IoT, M2M connectivity, platform access, and related services provided by Elites eSIM Platform.

"eSIM" (Embedded Subscriber Identity Module) means a programmable SIM that is embedded in a device and can be remotely provisioned with cellular network credentials.

"GSM" (Global System for Mobile Communications) refers to the digital cellular network technology used for mobile voice and data services.

"Platform" means our web-based portal, mobile applications, APIs, and all related software and infrastructure used to access and manage our Services.

"User," "you," or "your" refers to any individual or entity that accesses or uses our Services.

"Network" means our telecommunications infrastructure and partner carrier networks used to provide Services.

"IoT" (Internet of Things) refers to connected devices, sensors, and systems that communicate over cellular networks.

2. Service Description

Elites eSIM Platform provides the following telecommunications services:

eSIM Provisioning and Management

Remote provisioning, activation, and management of eSIM profiles for mobile devices, enabling digital connectivity without physical SIM cards. Support for multiple eSIM profiles on compatible devices.

GSM and Wireless Connectivity

Voice calling, SMS/MMS messaging, and mobile data services over GSM, 3G, 4G LTE, and 5G networks across 230+ countries through partner carrier agreements and roaming arrangements.

Global Roaming Services

International roaming capabilities allowing seamless connectivity when traveling abroad, with transparent pricing and usage monitoring through our Platform.

IoT and M2M Connectivity

Specialized connectivity solutions for Internet of Things devices, sensors, fleet management, industrial automation, and machine-to-machine communications with dedicated APN configurations.

Platform and API Access

Web portal and API access for service management, usage monitoring, billing, support, and integration with third-party systems for enterprise customers.

3. Eligibility and Account Registration

3.1 Age and Capacity Requirements

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.2 Account Registration

To access our Services, you must:

  • Provide accurate, complete, and current registration information
  • Complete identity verification (KYC) as required by telecommunications regulations
  • Maintain the security and confidentiality of your account credentials
  • Immediately notify us of any unauthorized access or security breaches
  • Accept responsibility for all activities under your account

3.3 Identity Verification (KYC)

Due to telecommunications regulations and fraud prevention requirements, we may require you to provide government-issued identification, proof of address, and other documentation. Failure to complete KYC verification may result in service suspension or termination.

4. Telecommunications Services

4.1 Voice Services

  • • Domestic and international voice calling over GSM networks
  • • VoLTE (Voice over LTE) and VoNR (Voice over 5G) where supported
  • • Call forwarding, voicemail, caller ID, and other supplementary services
  • • Emergency services access (E911/E112) subject to location and network availability
  • • Rates vary by destination and are specified in your service plan

4.2 Messaging Services

  • • SMS (Short Message Service) for text messaging
  • • MMS (Multimedia Messaging Service) for photos, videos, and group messages
  • • Premium SMS and shortcode services may incur additional charges
  • • Message delivery is dependent on recipient carrier and network conditions
  • • We do not guarantee delivery, timing, or content of messages

4.3 Data Services

  • • Mobile data connectivity over 3G, 4G LTE, and 5G networks
  • • Data speeds vary by network technology, location, and congestion
  • • Fair use policies apply to unlimited data plans (see Section 8)
  • • Data usage is measured in megabytes (MB) and gigabytes (GB)
  • • Tethering and hotspot usage may be restricted on certain plans

Emergency Services Notice

Emergency services access may be limited or unavailable in certain locations, during network outages, with insufficient battery power, or when roaming internationally. Always ensure you have alternative means of contacting emergency services.

5. eSIM Services and Activation

5.1 Device Compatibility

eSIM services require compatible devices with embedded eSIM hardware. You are responsible for verifying device compatibility before purchasing eSIM services. Compatible devices include:

  • • iPhone XS, XR, and newer models
  • • Samsung Galaxy S20 and newer (carrier-unlocked models)
  • • Google Pixel 3 and newer models
  • • iPad Pro (2018 and newer), iPad Air (2019 and newer), iPad Mini (2019 and newer)
  • • Select smartwatches and IoT devices with eSIM support

Device compatibility may vary by region and carrier lock status. We do not guarantee eSIM functionality on all devices.

5.2 eSIM Activation Process

  • • Upon purchase, you will receive a QR code or activation code via email
  • • Scan the QR code using your device's camera or eSIM settings
  • • Follow on-screen instructions to download and activate the eSIM profile
  • • Activation typically completes within minutes but may take up to 24 hours
  • • eSIM profiles are device-specific and cannot be transferred between devices
  • • You are responsible for safeguarding your activation QR code

5.3 eSIM Profile Management

  • • You may install and manage multiple eSIM profiles on supported devices
  • • Profile switching, activation, and deactivation can be performed through device settings
  • • Deleting an eSIM profile may result in loss of service; reactivation may incur fees
  • • We reserve the right to remotely disable or delete eSIM profiles for security, fraud prevention, or service termination

5.4 Device Lock and Carrier Restrictions

Your device must be carrier-unlocked to use our eSIM services. Devices locked to specific carriers may not be able to activate our eSIM profiles. We are not responsible for carrier lock restrictions or unlocking fees imposed by your original carrier.

6. GSM and Wireless Network Services

6.1 Network Coverage

We provide services through partner GSM carrier networks in 230+ countries. Network coverage varies by location, carrier infrastructure, and environmental factors. We do not guarantee:

  • • Continuous or uninterrupted network availability
  • • Specific network speeds or performance
  • • Coverage in all geographic areas, buildings, or underground locations
  • • Compatibility with all carrier frequencies or network bands

6.2 Network Technologies

Services are provided over GSM, UMTS, LTE, and 5G NR network technologies where available. Network type and speeds depend on:

  • • Local carrier infrastructure and network deployment
  • • Device compatibility and supported frequency bands
  • • Network congestion and user density
  • • Weather conditions and physical obstructions

6.3 Roaming Services

International roaming allows you to use Services on partner networks while traveling abroad. Roaming rates, coverage, and service availability vary by country and carrier. You acknowledge:

  • • Roaming charges may be significantly higher than domestic rates
  • • Data roaming may be limited or blocked on certain plans
  • • SMS and voice services may have different pricing when roaming
  • • You are responsible for managing roaming settings and understanding applicable charges
  • • Roaming partners may impose additional terms and conditions

6.4 Network Management and Prioritization

We and our partner carriers reserve the right to manage network resources, including:

  • • Traffic prioritization during periods of congestion
  • • Speed throttling after exceeding data thresholds
  • • Blocking or rate-limiting specific protocols or applications
  • • Deprioritization of heavy data users during peak hours

7. IoT and Machine-to-Machine (M2M) Services

7.1 IoT Connectivity Services

We provide specialized connectivity solutions for IoT devices, sensors, trackers, and industrial equipment. IoT services include:

  • • Multi-carrier connectivity with automatic network switching
  • • Dedicated APN (Access Point Name) configurations
  • • Static IP addresses and private network options
  • • Bulk eSIM provisioning and management APIs
  • • Real-time usage monitoring and alerts

7.2 M2M Data Plans

Machine-to-Machine data plans are designed for automated device communications and may have different terms than consumer mobile data plans, including:

  • • Data pooling across multiple devices
  • • Pay-per-use or prepaid data packages
  • • Voice and SMS services may be restricted or unavailable
  • • Network prioritization differs from consumer services

7.3 IoT Security and Responsibilities

You are responsible for:

  • • Securing IoT devices against unauthorized access and cyberattacks
  • • Implementing encryption and authentication mechanisms
  • • Monitoring device behavior and data usage patterns
  • • Ensuring IoT devices comply with applicable regulations
  • • Preventing IoT devices from being used in botnets, DDoS attacks, or malicious activities

8. IPTV/OTT TV White Label Portal & Management

Streaming Media Services and Content Delivery

Our IPTV/OTT TV platform delivers comprehensive streaming media services, enabling you to broadcast live television channels, video-on-demand content, and OTT streaming services. The platform includes complete white-label branding capabilities, multi-tier portal management, and flexible monetization options for content providers, broadcasters, and media distributors.

8.1 IPTV/OTT Platform Services

Our streaming platform provides:

  • • Live TV streaming (FAST channels, terrestrial, satellite broadcasts)
  • • Video-on-Demand (VOD) content library management
  • • OTT content delivery with adaptive bitrate streaming
  • • Multi-screen support (web, mobile, smart TV, set-top boxes)
  • • Content Management System (CMS) for media organization
  • • Electronic Program Guide (EPG) integration
  • • Digital Rights Management (DRM) for content protection
  • • Cloud DVR and time-shift viewing capabilities

8.2 White Label Branding

Complete customization of the streaming platform with your brand identity:

  • • Custom logos, colors, themes, and user interface
  • • Branded mobile applications (iOS and Android)
  • • Custom domain names and URLs
  • • Personalized welcome screens and splash pages
  • • No third-party branding or watermarks on player
  • • Custom email templates and notifications

8.3 Multi-Level Portal Management

Hierarchical access control with separate portals for different user roles:

Super Admin Portal

Full platform control, content management, user administration, billing configuration, and system settings

Sub-Super Admin Portal

Regional management, content curation, subscriber oversight, and limited administrative functions

Reseller Admin Portal

Partner management, customer provisioning, billing dashboard, and commission tracking

Customer Portal

Content browsing, subscription management, viewing history, payment methods, and support access

8.5 Content Rights and Licensing

You are responsible for:

  • • Obtaining all necessary content licenses and broadcasting rights
  • • Ensuring compliance with copyright and intellectual property laws
  • • Managing geographic distribution restrictions and geo-blocking
  • • Paying royalties, licensing fees, and content provider obligations
  • • Implementing age restrictions and parental controls as required
  • • Responding to DMCA takedown notices and copyright claims

8.6 Streaming Quality and Performance

Platform performance and streaming quality depend on:

  • • Viewer's internet connection speed and bandwidth
  • • Content Delivery Network (CDN) availability and routing
  • • Source content quality and encoding parameters
  • • Device capabilities and supported video codecs
  • • Concurrent viewer load and platform capacity

We employ adaptive bitrate streaming (ABR) to optimize quality based on available bandwidth. However, we do not guarantee specific streaming quality, buffering prevention, or continuous availability.

8.7 Prohibited Content

The following content types are strictly prohibited on our IPTV/OTT platform:

  • • Pirated or illegally obtained content
  • • Content violating third-party copyrights or trademarks
  • • Adult content (unless specifically licensed adult platform)
  • • Content promoting violence, hate speech, or terrorism
  • • Content violating laws of jurisdictions where distributed
  • • Malware, viruses, or harmful code embedded in streams

Content Responsibility Notice

You are solely responsible for all content uploaded, streamed, or distributed through our IPTV/OTT platform. We reserve the right to remove content, suspend accounts, or terminate services for content policy violations without notice or refund. We do not pre-screen content but respond to complaints and legal notices.

9. Data Usage and Fair Use Policy

9.1 Data Allowances

Data plans include specific data allowances measured in megabytes (MB) or gigabytes (GB). Once you exceed your data allowance:

  • • Additional data may be charged at per-MB or per-GB rates
  • • Data speeds may be reduced (throttled) to 2G speeds (128 kbps or lower)
  • • Data services may be suspended until the next billing cycle or top-up

9.2 Fair Use Policy for Unlimited Plans

"Unlimited" data plans are subject to fair use policies to ensure network quality for all users:

  • • Data speeds may be reduced after exceeding the fair use threshold (typically 50-100 GB per month)
  • • Video streaming may be limited to standard definition (480p)
  • • Tethering and hotspot usage may be capped separately
  • • Peer-to-peer file sharing and torrent traffic may be deprioritized
  • • Excessive usage inconsistent with normal consumer use may result in plan modification or termination

9.3 Network Optimization

We and our carrier partners may employ network optimization techniques including:

  • • Video compression and adaptive bitrate streaming
  • • Image compression for web browsing
  • • Traffic shaping for specific applications or protocols
  • • Caching of frequently accessed content

Excessive Usage Warning

We reserve the right to investigate and take action against accounts exhibiting abnormal usage patterns, including usage that suggests commercial resale, server hosting, continuous video streaming, or other uses inconsistent with typical consumer mobile use.

10. Billing, Payment, and Refunds

10.1 Service Plans and Pricing

  • • Service plans include prepaid and postpaid options with specified pricing
  • • Prices are quoted in US Dollars (USD) unless otherwise specified
  • • Pricing may vary by country, plan type, and promotional offers
  • • Taxes, regulatory fees, and surcharges are additional and vary by jurisdiction
  • • We reserve the right to modify pricing with 30 days' notice

10.2 Payment Methods

We accept the following payment methods:

  • • Credit cards (Visa, Mastercard, American Express, Discover)
  • • Debit cards with Visa or Mastercard logo
  • • PayPal and digital wallets
  • • Cryptocurrency (Bitcoin, Ethereum) for certain services
  • • Bank transfers for enterprise accounts

10.3 Billing Cycles and Charges

  • • Prepaid plans: Payment is required before service activation
  • • Postpaid plans: Billed monthly in arrears for usage
  • • Recurring charges are billed automatically on the renewal date
  • • Usage charges (calls, SMS, data overages) are billed as incurred
  • • Roaming charges may appear on subsequent billing statements

10.4 Failed Payments and Suspension

If payment fails or your account balance is insufficient:

  • • Services may be suspended until payment is received
  • • Late fees may be assessed after a grace period (typically 7-14 days)
  • • Accounts unpaid for 30+ days may be terminated
  • • Outstanding balances may be sent to collections

10.5 Refund Policy

Prepaid Plans and eSIM Purchases

  • • Refunds available within 7 days of purchase if eSIM has not been activated
  • • Once eSIM is activated or data/voice services are used, sales are final
  • • Partial refunds not available for unused portions of prepaid plans

Postpaid Plans

  • • You may cancel at any time; no refunds for current billing period
  • • Early termination fees may apply for contract plans
  • • Pro-rated refunds not available

Service Credits

  • • Service credits may be issued for verified service outages or billing errors
  • • Credit amounts are at our sole discretion
  • • Credits are non-transferable and have no cash value

11. Acceptable Use Policy

You agree to use our Services in compliance with all applicable laws and in a manner that does not:

Lawful Use

Use Services only for lawful purposes and in accordance with federal, state, and local laws and regulations.

No Interference

Avoid activities that interfere with or disrupt our Services, networks, servers, or other users' access.

Network Security

Maintain security of your devices and connections; do not attempt to bypass network security or authentication measures.

Responsible Communication

Use voice and messaging services responsibly; do not engage in harassment, spam, or abusive communications.

12. Prohibited Activities

The following activities are strictly prohibited and may result in immediate service termination:

Illegal Activities

  • • Committing or facilitating any criminal offense
  • • Transmitting illegal, harmful, or obscene content
  • • Fraud, identity theft, or phishing activities
  • • Money laundering or terrorist financing

Network Abuse

  • • Distributed Denial of Service (DDoS) attacks
  • • Port scanning or network vulnerability testing
  • • Operating servers, proxies, or VPN endpoints for commercial purposes
  • • SIM boxing or GSM gateway fraud

Spam and Unsolicited Communications

  • • Sending unsolicited bulk SMS (SMS spam)
  • • Robocalls or autodialed marketing calls
  • • SMS pumping or artificial traffic inflation (IRSF)
  • • Violating TCPA, CAN-SPAM, or similar anti-spam laws

Service Resale and Unauthorized Use

  • • Reselling Services without authorization
  • • Sharing eSIM profiles or account credentials
  • • Using Services in devices other than intended (e.g., eSIM in IoT gateways without M2M plan)
  • • Bypassing device tethering restrictions

Intellectual Property Violations

  • • Copyright infringement or piracy
  • • Trademark violations
  • • Distributing counterfeit software or content

13. Service Availability and Limitations

No Guarantee of Availability

Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, timely, secure, or error-free service.

13.1 Service Interruptions

Service may be interrupted, suspended, or unavailable due to:

  • • Network maintenance, upgrades, or repairs
  • • Equipment failures or technical issues
  • • Natural disasters, acts of God, or force majeure events
  • • Third-party carrier outages or network issues
  • • Government actions, regulations, or emergency orders
  • • Cyberattacks or security incidents

13.2 Service Limitations

  • • Coverage limitations in rural, remote, or indoor areas
  • • Speed and performance variations based on network conditions
  • • Roaming restrictions in certain countries or with specific carriers
  • • Device compatibility limitations
  • • Emergency services availability constraints

13.3 Scheduled Maintenance

We reserve the right to perform scheduled maintenance with or without advance notice. Whenever possible, we will provide notification through email, platform announcements, or status pages.

14. Intellectual Property Rights

14.1 Our Intellectual Property

The Platform, Services, and all associated content, features, and functionality (including but not limited to software, text, graphics, logos, images, APIs, and trademarks) are owned by Elites eSIM Platform and protected by copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or reverse engineer any part of our Services without explicit written permission.

14.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Platform and Services solely for your personal or internal business purposes in accordance with these Terms.

14.3 Third-Party Trademarks

All third-party trademarks, service marks, and logos (including carrier logos and device manufacturer trademarks) are the property of their respective owners. Use of these marks does not imply affiliation or endorsement.

15. Data Privacy and Security

Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information and telecommunications data.

15.1 Telecommunications Data

As a telecommunications provider, we collect and retain:

  • • Call detail records (CDRs) including date, time, duration, and called/calling numbers
  • • SMS/MMS metadata and delivery information
  • • Data usage records including volume, session times, and visited websites/IPs
  • • Location data from cell tower connections and GPS (where applicable)
  • • Device identifiers (IMEI, ICCID, EID)

This data is necessary for service provisioning, billing, network operations, fraud prevention, and regulatory compliance.

15.2 Data Retention

We retain telecommunications data as required by law (typically 2-7 years for CDRs) and account information for 7+ years after account closure for legal and regulatory purposes.

15.3 Law Enforcement and Regulatory Requests

We may disclose your information to law enforcement, regulatory authorities, or government agencies when required by law, court order, subpoena, or lawful interception request in accordance with applicable telecommunications regulations.

16. Third-Party Services and Networks

Our Services rely on third-party carrier networks, infrastructure providers, and service partners. You acknowledge:

  • • We do not control third-party networks and are not responsible for their performance, availability, or terms of service
  • • Third-party carriers may impose additional terms, conditions, or restrictions
  • • Roaming partners may collect and process your data according to their own privacy policies
  • • Links to third-party websites or services are provided for convenience; we are not responsible for their content or practices
  • • Third-party payment processors may impose their own fees and terms

17. Limitation of Liability

Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

17.1 Limitation on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • • Any indirect, incidental, special, consequential, or punitive damages
  • • Loss of profits, revenue, data, or business opportunities
  • • Service interruptions, delays, or unavailability
  • • Unauthorized access to your account or data
  • • Errors, mistakes, or inaccuracies in service or content
  • • Third-party actions or network issues

17.2 Liability Cap

Our total aggregate liability to you for any claims arising from or related to these Terms or Services shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

17.3 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or other liability that cannot be excluded or limited by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Elites eSIM Platform, its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • • Your use or misuse of Services
  • • Violation of these Terms or applicable laws
  • • Infringement of third-party intellectual property or privacy rights
  • • Your content or communications transmitted through Services
  • • Disputes with other users or third parties
  • • Unauthorized access to your account resulting from your failure to secure credentials

19. Termination and Suspension

19.1 Termination by You

You may terminate your account at any time by:

  • • Contacting customer support
  • • Using the account closure feature in your Platform settings
  • • Sending written notice to our business address

Termination does not relieve you of obligations to pay outstanding charges or entitle you to refunds for prepaid services (see Section 10.5).

19.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account immediately without notice if:

  • • You violate these Terms or Acceptable Use Policy
  • • You engage in prohibited activities or fraudulent conduct
  • • Your account poses security or legal risks
  • • Payment fails or your account is delinquent
  • • We are required by law or regulatory order
  • • We discontinue Services (with 30 days' notice when feasible)

19.3 Effects of Termination

Upon termination:

  • • Your access to Services will cease immediately
  • • eSIM profiles will be deactivated and cannot be reused
  • • Your phone number may be reassigned after a retention period
  • • Account data will be deleted or anonymized per our data retention policy
  • • Outstanding balances remain due and payable
  • • Provisions regarding liability, indemnification, and dispute resolution survive termination

20. Dispute Resolution and Arbitration

20.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at partners@phonesystemglobal.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes within 30 days.

20.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except for:

  • • Small claims court disputes (under $10,000 USD)
  • • Intellectual property disputes
  • • Injunctive relief to prevent irreparable harm

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision is final and binding.

20.3 Class Action Waiver

YOU AND ELITES ESIM PLATFORM AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

20.4 Governing Law

These Terms shall be governed by the laws of the State of New York, United States, without regard to conflict of law principles. Federal law and regulations apply where applicable.

21. Regulatory Compliance

Our telecommunications services are subject to regulation by federal, state, and international regulatory authorities. We comply with:

  • • GSMA guidelines and specifications
  • • Local telecommunications regulations in 230+ countries
  • • Anti-money laundering (AML) and KYC requirements

Technical Standards

  • • 3GPP specifications for GSM, LTE, 5G
  • • GSMA eSIM specifications (SGP.21, SGP.22)
  • • ISO/IEC standards for smart cards and security
